Crypto News (February 19, 2025) – MicroStrategy, the business intelligence services and Bitcoin buying firm, is set to raise an additional $2 billion through a 0% senior convertible notes offering. The company intends to use the proceeds from this offering primarily to acquire more Bitcoin and for general working capital. In a statement released on February 18, MicroStrategy revealed that buyers of the initial offering would have the option to purchase an extra $300 million worth of notes within five business days after issuance.

The Role of Senior Convertible Notes

The senior convertible notes being offered are a form of debt security that can later be converted into equity. These notes are senior to common stock, meaning that noteholders would have priority in case of bankruptcy or liquidation. MicroStrategy has frequently used senior convertible notes as part of its broader 21/21 Plan, which aims to raise $42 billion over the next three years. The company plans to split this amount between equity and fixed-income securities, ultimately increasing its Bitcoin holdings.

MicroStrategy’s Bitcoin Strategy and Future Plans

Michael Saylor, the executive chairman and co-founder of MicroStrategy, has been at the helm of the company’s strategy to amass significant amounts of Bitcoin. Since the plan’s launch on October 30, MicroStrategy has already purchased nearly 200,000 Bitcoin, bringing its total holdings to 478,740 Bitcoin. This makes the company the largest corporate holder of Bitcoin globally, according to data from BitBo’s BitcoinTreasuries.NET.

The new senior convertible notes will mature on March 1, 2030, unless repurchased, redeemed, or converted before that date. However, the issuance is subject to market conditions.

MicroStrategy’s Financial Performance

Despite the significant Bitcoin purchases, MicroStrategy reported a $670.8 million net loss for Q4. The company’s stock (MSTR) did not see a notable reaction to the announcement, with shares closing down 1% on February 18, although its stock has soared 372% over the last 12 months.
