Coinbase Lawsuit: Shareholder Lawsuit Seeks Damages and Reforms
Coinbase Lawsuit – On February 18, 2025, Coinbase and several of its executives were hit with a shareholder lawsuit filed in a New Jersey federal court. The lawsuit, brought by Coinbase shareholder Wenduo Guo, claims that the company misled investors about the risk of bankruptcy, violated securities laws, and failed to disclose critical information regarding customer assets. The complaint asserts that Coinbase executives did not inform investors that customer assets could be considered part of Coinbase’s bankruptcy estate, leaving retail customers in a position where they would be treated as unsecured creditors in the event of a bankruptcy.
Allegations of Unreported Proprietary Trading Practices
The lawsuit further alleges that, prior to its public listing in April 2021, at least 75 cryptocurrency exchanges had collapsed, leaving customers unable to recover their digital assets. Despite claims by Coinbase’s management that the company was different, the lawsuit argues that Coinbase was not immune to the risk of digital asset loss during bankruptcy proceedings. Additionally, the complaint accuses Coinbase of engaging in proprietary trading, using the company’s money to trade digital assets and compensate for declining crypto prices. The suit describes this as a risky practice that added further exposure to potential losses.
SEC Lawsuit and Regulatory Concerns
Guo’s lawsuit also references the Securities and Exchange Commission’s (SEC) lawsuit against Coinbase in June 2023, which alleged that Coinbase had listed unregistered securities and failed to comply with regulatory requirements. Guo claims that these actions led to substantial financial losses, regulatory penalties, and significant reputational damage for the company.
Demands for Corporate Governance Reforms
The complaint seeks damages and demands corporate governance reforms to prevent similar misconduct in the future. In addition to Coinbase, the lawsuit also names several executives, including co-founder Fred Ehrsam, CFO Alesia Haas, COO Emilie Choi, and Legal Chief Paul Grewal, among others.
Coinbase Faces Another Legal Challenge
In addition to this lawsuit, Coinbase is also dealing with a class-action lawsuit in New York, where it is accused of selling securities without being registered as a broker-dealer.
